Inderes operates in the financial industry. The company provides a community platform for investors and listed companies. Via the platform, users can communicate with each other and exchange investment tips. The customers consist of both companies and private individuals. In addition, the company offers analysis services and a basis for investment decisions. The largest operations are in the Nordic region.

Could the criteria for earning the additional share rewards have been something other than the performance of the total shareholder return (TSR)?

The same release also contains two essential changes to board remuneration, although fixed board fees are maintained at the previous year’s levels. At least the change regarding paying the board fee partially in company shares aligns with the wishes gathered from a survey conducted for the community in the past. Community member @_TeemuHinkula will hopefully blog more on the subject later. Personally, I give these a thumbs up     It is proposed that the annual fee be paid partially in Inderes Oyj shares and partially in cash, so that approximately 40% of the fee amount is paid in company shares and the remainder is paid in cash.   Inderes’ Nomination and Remuneration Committee proposes that, in addition to the annual fee, it be possible for board members to earn additional share rewards based on the total shareholder return (TSR) as follows:  The maximum amount of the additional share reward is 1,000 shares for the Chairman of the Board and 500 shares for other board members. The amount of the additional share reward is determined linearly based on the development of Inderes Oyj’s total shareholder return between 11% and 30%. If the development of the total shareholder return is below 11%, no additional share reward is paid. If the development of the total shareholder return is 30% or more, the additional share reward is paid at the maximum amount.

In my opinion, the profile fits perfectly for a situation where software sales in broader international markets serve as the spearhead.  Tuomas Syrjänen (b. 1976, Finnish citizen, M.Sc. Tech.) is a founding member of Futurice Oy and has served as the Chairman of the company’s Board of Directors since 2024. He served as the CEO of Futurice from 2008–2018 and as Business Director from 2003–2008. Syrjänen brings strong technological expertise and experience in international business and leading growth companies to the board’s work. He also serves as a board member at WithSecure Oyj, Vaisala Oyj, Vastuu Group, Flow Technologies Oy, and Lappeenranta University of Technology. “Tuomas brings strong expertise in technology, AI, and internationalization to the board. He also has valuable experience with companies that have been at a similar stage of development as Inderes is now,” comments Sauli Vilén, Chairman of the Nomination Committee.  Tuomas seems to have been on several podcasts recently, so I’ll have to listen to the man’s thoughts during a ski outing.

Almanakka has written about Inderes following Q4.   Now the company is emerging as a SaaS firm just as AI is making all software useless. Or well, I guess it doesn’t really. That’s just how the narrative seems to go. Q4 was a relief after a poor Q3. The company even issued a profit warning in October, but at least in my opinion, the end of the year went slightly better than indicated at the time of the warning. Looking at the trailing 12 months, budding growth was achieved again and the plunge in profitability was successfully turned around.
