Bioretec operates in the medical technology sector. The company specializes in the development of medical technology products. The product portfolio includes, for example, implants for pediatric and adult orthopedics and other materials for bone and soft tissue injuries. In addition to the main business, service and related ancillary services are also offered. The business is operated globally with the largest presence in the Nordic region.

Here is a recap of the company’s valuation development from January 1, 2025, to the present: 1.1.2025: 2.25 euros * approx. 24M shares = 54 million euros (I didn’t check the share count, but estimated based on the 2025 rights issue) After the May 15th rights issue (1 old for 4 new at 1.5 euros): 1.8 euros * 30M shares = 54 million euros At the end of October 2025, after the earnings results: 90c * 30M = 27 million euros Now the company received 12.9 million euros, and the valuation based on the new shares is: 0.011 c * 1.336 billion shares = 14.7 million euros (Nordnet is reporting the wrong share count; they calculated it based on 100% execution, likely to be corrected soon) So, if you subtract the net cash from that, estimated at 12 million euros, the value of the business and patents is about 2.7 million euros. At the beginning of 2025, cash reserves were about 4 million euros, so calculated the same way, the valuation of the business and patents was about 50 million. Quite a drop in just over a year; let’s see if the situation corrects at all now, or if we should wait for potential proof first. There is time until around mid-2027 according to Siltanen’s calculations, and there is about 60% upside to Siltanen’s target price of 0.018 cents. The rights issue sold surprisingly well relative to the fact that you could buy new shares from the market practically at the subscription price while the offering was still ongoing. For some reason, the value of the subscription right (merkkari) dropped very quickly to practically zero, though that often happens in rights issues. Now you can get on board a company that has established operations at almost the price of its net cash. I would say this is the cheapest moment in the company’s entire history, yet there is still no guarantee of success this time. All the startup money invested before this rights issue has practically been wiped out. I am in now, even though I understand the high risks. There won’t be another attempt unless the business is scaled now. There is a small chance someone might want to buy this. “But I got it cheap.”

SP-Rahastoyhtiö has taken quite a bold position. Their ownership is now a fraction over 8%, whereas they were previously below the flagging threshold (5%). Quite an interesting (weak?) signal. Perhaps the first positive one in a long time. Of course, as a retail investor, I can’t really interpret the moves of professional fund managers in any direction. Interesting nonetheless.

Here is a company report from Antti after the rights issue.  Bioretec announced on Friday the result of its rights issue. The company is raising gross proceeds of EUR 12.9 million in the offering. We consider the outcome successful, as it is clearly closer to the EUR 14.8 million target ceiling than the EUR 5 million minimum target. In our estimate, the offering secures funding for the company until Q3’27. We have now factored the offering into our forecast following the merger of the share classes. We reiterate our recommendation (Accumulate) and target price of EUR 0.018. It can be found on the second page of the exemption document  Surely it will be at the upper end of that range, as the amount raised is also close to the maximum. EDIT: and it was apparently mentioned in that Finnish prospectus as well.

Kustaa Poutiainen has carried out a Tecnotree-style takeover. The major shareholder is unlikely to want to burn any more money.

In Bioretec’s case, the question is whether the share issue will lead to a new rise or if the continuation of wasteful spending has simply been enabled for another 5 quarters. The essential question is why the situation would be any different now compared to previous offerings, where the funds raised were always burned at record speed without results.
