Lindex Group operates in the retail sector. The Group manages a number of stores in major shopping centres and large commercial premises located throughout the Nordic market. The Group is a retailer of several brands and the range consists of clothing, shoes and related accessories. The company has its headquarters in Helsinki.

Yesterday, the Lindex annual general meeting was held. Initially, I planned not to write anything, but feeling quite energetic this morning, I’ll allow myself a few words. Perhaps the most interesting point was when the dividend taps would open. The Chair of the Board, Sari Pohjonen, immediately stated in her opening remarks that the secured bonds from 2021 prevent dividend payment, but she did not mention that they mature this year. When asked later during the discussion section whether redeeming them this year would enable dividend payment later in the autumn, the response was a blunt “this (referring to the Board’s proposal not to pay dividends) is our proposal,” essentially an attempt to cut the discussion short. She did, however, confirm that they mature this year. Support came from another shareholder who asked if there were reasons other than the bonds for not paying dividends. The answer was easy to guess: “this is our proposal” . It looks very much like Lindex’s Chair of the Board lacks the competence to engage in discussion with shareholders at the AGM. A mere CFO background (she did serve as interim CEO at Fiskars, but her work as Oriola’s CFO was not convincing) is not necessarily the best background for chairing a nearly 400 million stock exchange company; it might be a compromise to prevent the Konstsamfundet alliance from wielding the chairman’s gavel. It was also notable that the new board member, Matti Piri, did not bother to introduce himself to the annual general meeting with a few words, contrary to common practice. He did at least get up from his chair and turned to nod to the meeting representatives. All the above speaks volumes about the conservatism of the company’s board; they are stuck in the last century. As late as the 2010s, Konstsamfundet struggled with other major owners for control of the company, and I am not convinced that there isn’t still infighting on the board due to differing interests, even though, after postponements, a unanimous decision was finally reached that separating the department stores would be the most value-creating solution. CEO Susan Ehnbågen’s review was a recap of old news; weak consumer confidence remains the core problem affecting the entire retail sector. Credit is due to the CEO for shaking hands with all the meeting representatives at the door of the meeting hall. In general, she makes a dynamic impression, a stark contrast to the board. The refreshments after the meeting were good; there seemed to be four kinds of sweet and savory snacks with coffee. Unfortunately, I had to rush to Espoo for DeeTee’s AGM and couldn’t stay long to discuss with other shareholders and, ideally, the company’s management.

Lindex division’s revenue was EUR 133.7 (126.3) million. Revenue increased by 5.8% and by 1.5% in local currencies. Stockmann division’s revenue was at the level of the comparison period, EUR 59.3 (59.8) million. Comparable revenue increased.   The Group’s gross margin was 58.5% (57.4). The Group’s adjusted operating result decreased to EUR -11.9 (-8.7) million.    Lindex division’s adjusted operating result decreased to EUR -4.3 (-0.3) million due to increased operating expenses and depreciation.   Stockmann division’s adjusted operating result improved to EUR -6.2 (-7.3) million thanks to a stronger gross margin and lower operating expenses.    Operating result was EUR -13.1 (-9.5) million. Result for the period was EUR -20.3 (-20.2) million. Basic earnings per share were EUR -0.12 (-0.13). Diluted earnings per share were EUR -0.12 (-0.12).

To my understanding, there are no other bonds/loans or similar instruments that would prevent dividend payments. If there’s no readiness to pay dividends this year, I will be truly surprised and even more disappointed.

Some kind of interim report on this was published last December, stating that the board believes separating the department stores is the best strategic approach. Oh, boohoo for this company. First, they restructure, then an industry player becomes the owner, then 100 million euros are tied up in a new sheet metal hall, then the restructuring is completed, but there are bonds that prevent the distribution of funds. The department store side is not suitable for an industrial buyer, and the ownership is somehow parked next to an art fund. Next, the Lindex side will probably falter. STRATEGIC ASSESSMENT In September 2023, the Board of Directors of the Lindex Group initiated a strategic assessment aimed at strengthening shareholder value by placing the Lindex division at the core of the Group’s business operations. As part of the investigation into strategic alternatives for Stockmann’s department store business, the Board is evaluating which options would provide the best conditions for developing the business in the future. Options include increasing the independence of the department store business within the Group, potential changes in ownership or strategic partnerships, and maintaining the current structure. In December 2025, the Lindex Group announced that the company’s Board of Directors is continuing the strategic assessment and that the Group will report on the results of this work when appropriate.  …. moving at a snail’s pace, this project. It’s not getting anywhere.

This was a bit of a recap. But… Lindex and others probably follow the Securities Market Act. That means they don’t blab about important matters. Lindex mentioned the demerger in its December release, stating it “would be the best strategic way forward…”   So, we’ll have to wait for it. When there’s information to disclose, they’ll disclose it. “The company will publish additional information when it is timely.” So, there are no more schedules. Considering the global situation, this sounds reasonable. The decline in the stock price is likely due to many factors, but the most significant is probably the “vague future.” Whoever still believes in the value of about four euros, as once thought, can get Lindex at a discount at the current price.
