Under the authorisation from the annual general meeting 2026, the board of Berner Industrier AB has resolved to repurchase own shares of series B to give the board flexibility to use own shares as payment in connection with acquisitions of other companies or businesses and to enable the injection of new capital and/or new owners of strategic importance to the company. Own shares of series B may be repurchased to the extent that the company’s total holdings of own shares do not exceed five per cent of the total number of shares in the company.
Any repurchase will be made on Nasdaq Stockholm in accordance with the Nordic Main Market Rulebook for Issuers of Shares and take place before the annual general meeting 2027. The shares will be repurchased in cash and arranged by an investment firm or financial institution in accordance with the applicable rules and regulations in the Nordic Main Market Rulebook for Issuers of Shares. The repurchase price per share shall not exceed the higher of (i) the price of the last independent trade and (ii) the highest current independent bid on Nasdaq Stockholm, and shall not be lower than the lowest price at which an independent acquisition can be made.

The total number of shares in the company is 19,069,398, of which 1,250,000 are class A shares and 17,819,398 are class B shares. Each class A share carries ten votes and each class B share carries one vote. The total number of votes is 30,319,398. As at the date of this press release, the company holds no own shares.
