Bricknode Holding AB (publ) ("Bricknode") and Huddlestock Fintech AS ("Huddlestock") have today completed the transaction regarding the transfer of all operational assets of Bricknode to Huddlestock in exchange for shares in Huddlestock (the "Transaction").
As previously announced, an extraordinary general meeting in Bricknode held on 31 March 2023 approved the Transaction. Closing of the Transaction has now occurred and Huddlestock has issued the first tranche of 19,000,000 shares (of a total of 41,138,911 shares) in Huddlestock to Bricknode. Thus, Bricknode's assets as of today mainly consist of shares and entitlement to subscription of additional shares in Huddlestock (as further described in previous press releases and the information document published by Bricknode on 17 March 2023 on Bricknode's website, www.bricknode.com (https://www.bricknode.com/pages/general-meeting-2023-03-31/)) as well as a small cash position for running costs.
As previously announced, the current intention is to finally liquidate Bricknode once all material assets have been distributed to its shareholders.
