Citycon is active in the real estate industry. The company acquires, develops and manages properties, mainly commercial premises and shopping centers in major Nordic and Baltic cities. The vision is to be a long-term player that contributes to the development and modernization of the property portfolio. The company was founded in 1988 and has its headquarters in Espoo.

I personally view the news positively, although with the “Catman” (Gadi Dankner/Gazit), one must always be prepared for a hidden agenda (a fox’s tail under the arm). A few thoughts on the potential content of the deal: The balance sheet value of the Finnish shopping centers is apparently 1.6 billion euros. Iso Omena’s value is likely well over 400 million euros. Selling Lippulaiva right next to it would be a bit strange, and it is likely the second most valuable piece. Is a significant portion of the regional shopping centers actually leaving in this deal? If Citycon’s portfolio is being more centralized in the Helsinki metropolitan area, then Trio, Koskikeskus, and IsoKristiina could make up the bulk of that €400M package. I suppose Citycon is being trimmed piece by piece into selling condition, and soon 200M in dividends will be milked from the cow // frog (conna). I would be more worried about potential “skimming from the top” if the Cat had, for example, a 55% ownership at this point instead of 86.4%. Now there is less reason to mess in Citycon’s own backyard.

I don’t really see the logic here… for 400 million, they could get all the small centers in remote villages, and Citycon would be left with Lippulaiva, Iso Omena, and Koskikeskus in Tampere. So the best ones would remain, and if they start distributing that sale price as capital repayments, it would be 2 euros per share. The balance sheet would shrink, but the stock would be better for those who stay on, even if it remains debt-laden.

Could the catch be that the acquisitions are financed through the New Company’s IPO?  Meaning, Citycon’s assets are transferred to a New Company funded by an IPO, and then the cash is transferred from Citycon to G-City. And outsiders finance the whole thing greedily in the offering…

Perhaps Citycon will lend the money needed for the purchase to G-City or a new company owned by it. Then they can distribute capital repayments again once they’ve managed to sell some properties.

I don’t see where the catch is here. Are they only selling the centers where the book value is truly low?
