Oslo, 30 October 2026
CodeLab Capital AS (the "Company") has today held an extraordinary general
meeting ("EGM") as a virtual meeting with online participation, as announced on
16 October 2026. All resolutions were made in accordance with the proposals set
out in the meeting notice, including i) to increase the Company's share capital
through a conversion of seller credit into share capital as settlement of the
purchase price under the share purchase agreement dated 29 September 2026
regarding the purchase of 100% of the shares in MDCO AS and ii) to further
increase the Company's share capital by issuance of 4,829,768 new shares (the
"New Shares") pursuant to the private placement which
was announced as successfully placed by the Company on 12 October 2026 (the
"Private Placement").
The Private Placement is expected to be settled on a delivery-versus-payment
(DVP) basis on or about 4 November 2026, subject to, among other things,
registration of the share capital increase pertaining to the New Shares in the
Norwegian Register of Business Enterprises.
Reference is made to the stock exchange announcements published by the Company
on 29 September 2026 and 12 October 2026 for more information regarding the
acquisition of MDCO AS and the Private Placement, respectively.
Further, the EGM resolved to elect Tom Olav Holberg as a new member of the board
of directors.
