SoftwareOne Holding AG (SIX: SWON), a leading global software and cloud
solutions provider, today announced the termination of the TRS agreement.
Reference is made to the stock exchange announcements made under the ticker
CRAYN on 22 December 2022, 2 April 2024 and 14 April 2025 regarding a total
return swap ("TRS") agreement by SoftwareOne Holding AG ("SoftwareOne") with
financial exposure to 4,578,588 underlying shares in Crayon Group Holding ASA
("Crayon").
SoftwareOne's has exercised a physical settlement option under the TRS agreement
and today received delivery of all 4,578,588 shares covered by the TRS
Agreement. Following delivery of the Crayon shares covered by the TRS agreement,
SoftwareOne holds 6,259,613 shares in Crayon, equivalent to approximately 6.99%
of the issued and outstanding shares in Crayon.
Together with the 75,941,335 shares tendered in the ongoing voluntary tender
offer, SoftwareOne will own 82,200,948 shares in Crayon following completion of
the offer, representing approximately 91.77% of the outstanding share capital
and the voting rights, and thereby crossing the mandatory notification threshold
of 90% set out in section 4-2 of the Norwegian Securities Trading Act.
