DNB Bank ASA: Agreement to divest shareholding in Luminor Holding AS

A wholly owned subsidiary of DNB Bank ASA ("DNB"), DNB Baltic Invest AB, has
entered into an agreement to divest its entire shareholding in Luminor Holding
AS ("Luminor") to OTP Bank Plc. (the "Acquirer").

Luminor Holding AS is a regulated holding company owning 100% of the shares in
Luminor Bank AS, a leading banking group in the Baltic region under the
supervision of the European Central Bank (ECB).

Luminor was established in 2017 through the merger of the Baltic operations of
Nordea Bank Abp and DNB Bank ASA ("DNB"). Since 2019, a consortium of private
equity funds managed by Blackstone has held the majority ownership in Luminor,
while DNB Baltic Invest AB has retained a 19.95% shareholding.

Transaction overview

Under the terms of the agreement, the Acquirer will acquire 100% of the shares
in Luminor. DNB Baltic Invest AB will sell its entire shareholding. The
transaction will be settled in cash at the closing date.

Completion of the transaction is subject to obtaining the necessary regulatory
approvals.

Financial impact

Luminor is currently accounted for through the equity method in DNB's financial
statements. DNB will classify its investment in Luminor as held for sale from
20[th] July 2026 and expects to recognize an accounting loss of approximately
NOK 1 billion in the third quarter of 2026 in connection with the classification
as held for sale.

For the financial year 2025, Luminor contributed NOK 371 million to DNB's net
profit.

Upon completion of the transaction, DNB expects a positive effect on the Common
Equity Tier 1 (CET1) ratio of approximately 20 basis points.

The final financial effects will depend on, among other factors, the final
transaction price, closing adjustments and currency developments.

Strategic implications

The transaction represents the final step in DNB's strategy to exit its customer
-facing banking activities in the Baltic states.

Blackstone, we have contributed to building a strong and independent banking
platform in the Baltics. The transaction is expected to release capital and
supports our continued focus on capital efficiency and disciplined allocation of
resources," says Rasmus Aage Figenschou, CFO of DNB.
