Reference is made to the stock exchange announcements made by Fjord Defence
Group ASA (the "Company") on 20 May 2026 and 5 June 2026 regarding, inter alia,
the Acquisition (as defined therein) and the board of directors' resolution to
issue 6,972,823 new shares in the Company to be used as part settlement of the
consideration payable by the Company to the Seller (as defined therein) in the
Acquisition (the "Consideration Shares"). The Acquisition was successfully
completed on 5 June 2026.
The share capital increase pertaining to the issuance of the Consideration
Shares has today been registered with the Norwegian Register of Business
Enterprises:
Share capital (new): NOK 639,438,987.60
Total number of shares (new): 76,123,689 shares
Par value of each share: NOK 8.40
The Consideration Shares will be issued in the Norwegian Central Securities
Depository, Euronext Securities Oslo (VPS), on the Company's listed ISIN (NO
0013647693) and are expected to be delivered to the Seller on or about 10 June
2026.
