<p class="prs-announcement__byline">9.7.2024 14:02:07 CEST | Topdanmark A/S |    Tender offer</p><p>&nbsp;9 July 2024</p><p>Announcement no. 11/2024</p><p><strong>General meeting of Sampo authorises Sampo's board of directors to issue new A shares in connection with the public tender offer to the shareholders of Topdanmark&nbsp;</strong></p><p>NOT FOR PUBLICATION, DISTRIBUTION OR RELEASE, IN WHOLE OR IN PART, DIRECTLY OR INDIRECTLY, IN OR INTO AUSTRALIA, HONG KONG, JAPAN, NEW ZEALAND, SOUTH AFRICA OR SINGAPORE OR ANY OTHER JURISDICTION IN WHICH PUBLICATION OR DISTRIBUTION WOULD BE UNLAWFUL.</p><p>With reference to announcement no. 9/2024 of 17 June 2024 regarding the entering into of an agreement between Topdanmark A/S (”<strong>Topdanmark</strong>”) and Sampo plc (”<strong>Sampo</strong>”), pursuant to which Sampo will make a recommended public tender offer (share exchange offer) to the shareholders of Topdanmark for up to all shares (except treasury shares and shares already held by Sampo) in Topdanmark (the “<strong>Exchange Offer</strong>”), Sampo has today announced that an extraordinary general meeting of Sampo has on 9 July 2024 authorised Sampo’s Board of Directors to issue new A shares as consideration to the shareholders of Topdanmark in the Exchange Offer.
