Reference is made to the stock exchange announcement made by Gold Road
International p.l.c. ("Gold Road" or the "Company") on 30 July 2026 regarding
the end of the stabilisation period in connection with the Private Placement and
admission to trading of the Company's shares on Euronext Growth Oslo, including
the planned redelivery of 1,500,000 shares to Svein Harald Øygard, executive
chairman and primary insider of the Company, in his capacity as share lender,
pursuant to the share lending arrangement between Mr. Øygard, the Company and
Pareto Securities AS as stabilisation manager.
The 1,500,000 shares have today, 31 August 2026, been redelivered by Pareto
Securities AS to Mr. Øygard, as settlement of the share loan. Following the
redelivery, Mr. Øygard directly and indirectly holds a total of 7,217,871 shares
in the Company, corresponding to 12.59% of the total issued share capital.
