Oslo, 31 August 2026: Reference is made to the stock exchange announcement made
by Höegh Autoliners ASA (the "Company") on 25 August 2026 , whereby the Company
announced the allocation of 8,500,000 new shares (the "Offer Shares") in the
Company, raising gross proceeds of NOK 1,420 million (approximately USD 152
million) (the "Private Placement"), and that the board of directors of the
Company had resolved to issue the Offer Shares pursuant to the authorisation
granted by the Company's annual general meeting held on 27 May 2026.
The share capital increase pertaining to the issuance of the Offer Shares has
today, on 31 August 2026, been registered with the Norwegian Register of
Business Enterprises (Nw. Foretaksregisteret). Following the share capital
increase, the Company's share capital is NOK 199,269,749, divided into
199,269,749 shares, each with a nominal value of NOK 1.00.
Following the registration of the capital increase, the 5,436,600 shares lent
out by Leif Høegh & Co AS, a close associate to certain primary insiders, to
facilitate settlement of the Offer Shares, has been returned to Leif Høegh & Co
AS, as set out in the attached notification of transaction. Following the return
of the 5,436,600 shares previously lent out and receipt of the 3,063,400 shares
subscribed for in the Private Placement, Leif Høegh & Co AS holds 71,813,400
shares, equal to approx. 36.04% of the shares and votes in the Company.
