The money from the compulsory redemption arrived in the OP account on 12/12. The sale price was 1.48 SEK per share.

Hi, These have disappeared from my account, but the money hasn’t been paid yet. Nordea is the broker. I wonder if I’ll get the money at the sale price since I didn’t accept the tender offer during the offer period.

TradingView              News by MT Newswires on TradingView, 2024-11-26                              ZignSec ZIGN said Tuesday that 200,553,120 shares, representing 97.06% of its share capital, and 15,718,000 warrants were tendered in an offer for its takeover by US-based company G2 Acquisition. As such, payment to the Swedish technology group’s shareholders is anticipated on Dec. 2, with G2 Acquisition also launching compulsory redemption proceedings to acquire the remaining shares not tendered in the offer. G2 Acquisition, in September, offered 1.38 kronor per ZignSec share and 1.13 kronor per series TO1 warrant, valuing the latter at 302.9 million kronor.

I think that only those of us who accepted the tender offer before the offer period was extended have received the money now. Next (at some point), those who accepted only during the “extended period” will get theirs. And then there are still about 5 percent of the shares left, for which they will have to use a redemption procedure. And it seems to be a lengthy process, during which ZignSec will still be listed on the stock exchange.

The deadline for responding is November 21st, if I remember correctly. So we still have to wait for the final result.

I took a small position in the shares with a nearly 15% premium after the tender offer. Today, the shares had disappeared from the book-entry account and the money was paid. No announcement has been seen, but the deal is apparently completed anyway. However, trading seems to continue at the offer price level.
