Registration of capital increase 

MapsPeople A/S ("MapsPeople") has today, as part of the completion of the private placement raising gross proceeds of approx. DKK 39 million, registered a capital increase of nominally DKK 867,639.54, divided into 43,381,977 shares of nominally DKK 0.02 each with the Danish Business Authority. Reference is made to company announcement no. 7-2025 from 28 April 2025. 

After the capital increase, the share capital of MapsPeople consists of nominally DKK 2,881,384.66, divided into 144,069,243 shares of DKK 0.02 each.

The capital increase was adopted by MapsPeople's board of directors on 28 April 2025 pursuant to the authorization in article 3.1.2 of MapsPeople's articles of association and was completed without pre-emption rights for MapsPeople's existing shareholders.

The new shares rank pari passu in all respects with existing shares in MapsPeople. 

The new shares are negotiable instruments, and no restrictions apply to their transferability. No shares, including the new shares, carry or will carry any special rights. 

The shares were subscribed for by Apex Group Technologies Inc. at a subscription price of DKK 0.90 per new share, which is 42% higher than fourteen (14) day VWAP of DKK 0.63 per 25 April 2025, which the board of directors deems to constitute market price, raising approx. DKK 39 million in gross proceeds. 

The shares represent approximately 43.08% of MapsPeople's registered share capital before the capital increase and will account for approximately 30.11% of MapsPeople's registered share capital upon completion of the capital increase.

The issue of new shares was made pursuant to and in compliance with the applicable exemptions from the obligation to publish a prospectus.

The new shares have been issued under a temporary ISIN code (DK0063857024) and are expected to be admitted to trading on Nasdaq First North Premier Growth Market in MapsPeople's permanent ISIN code DK0061549052 on 16 May 2025. The temporary ISIN code is expected to be merged with the permanent ISIN code on 19 May 2025.
