Moreld ASA: Results from Moreld's employee share incentive programme 2026

Stavanger, 7 September 2026: Moreld ASA (the "Company") has completed the employee share incentive programme for 2026 (the "ESSP"). The ESSP was directed towards the Company's employees, and each of the participants were given the opportunity to purchase ordinary shares in the Company at a price per share of NOK 23.10 (the "Offer Price"). The Offer Price equals the volume-weighted average price of the Company's shares for the period from and including 17 August 2026 to and including 24 August 2026.

The application period to purchase shares under the ESSP expired on 24 August 2026. By the end of the subscription period, a total of 309 employees, equivalent to approximately 18% of the Company's employees, had subscribed to purchase in aggregate 850,746 shares in the Company, raising total gross proceeds of NOK 19,655,806 to the Company. Reference is made to the Company's stock exchange announcement on 31 August 2026 regarding shares acquired under the ESSP by primary insiders and their close associates.

Settlement of the ESSP will be carried out through delivery of existing an unencumbered shares in the Company, which have been acquired through the non-discretionary share buy back programme launched on 13 July 2026 that ended on 31 August 2026. Following delivery of the shares to participating employees, the Company will hold a total of 2,673,073 treasury shares.
Participants who remain employees of the Company and who have not sold shares acquired under the ESSP as of 24 August 2028 and 24 August 2029 will receive matching shares from the Company based on the number of shares purchased under the ESSP.
