Grant of Restricted Stock Units and Performance Shares

On April 28, 2026, The Annual General Meeting of Nordic Semiconductor ASA
approved the issue of Restricted Stock Units (RSUs) and Performance Shares of an
aggregate nominal value of up to 1% of the company's outstanding share capital.
In total, including release on May 7, 2026, the grants are equivalent to 0.41%
of the company's outstanding share capital.

As basis for the calculation of RSUs and Performance Shares, a volume weighted
average share price the five trading days after the Annual General Meeting of
NOK 190.26 has been used.

Christer Roth, newly appointed EVP Strategy and Corporate Development, has been
granted a total of 4,582 RSUs and 5,374 performance shares performance shares in
the company. 1,000 RSUs will vest on May 12, 2028, and 3,582 RSUs will vest on
May 12, 2029 and the shares will be delivered to the employee after the vesting
date against payment of the par value of the share (subject to the employee's
continued employment with the Company). The shares may be newly issued shares or
existing treasury shares.

The performance shares are issued conditional upon the achievement of a certain
set of objectives. The performance shares vest and will be delivered at par
value upon the completion of the performance period, which is three years. The
PSU award will vest at 50% upon threshold performance, at 100% upon achievement
of the performance targets, and at a maximum of 200% upon maximum performance
achievement. As such, if maximum performance is achieved, a total of 10,748
performance shares will be delivered to Christer Roth, equivalent to two times
the base performance share award.

Following the grant, Christer has 4,582 RSUs and 5,374 performance shares in the
company.
