<div class="abstract">Reference is made to the proposed merger between SalMar ASA ("SalMar") and Norway Royal Salmon ASA ("NRS") (the "Merger") pursuant to the merger plan dated 30 May 2022 (the "Merger Plan"). The Merger Plan was approved by the respective general meetings of NRS and SalMar held on 30 June 2022.</div>The Merger is conditional upon, among other things, that all conditions for the completion of SalMar's recommended voluntary offer to acquire all outstanding shares in NTS ASA ("NTS") (the "Offer"), as set out in the offer document dated 17 March 2022 (the "Offer Document"), have been satisfied, waived, or that the Offer has been completed.The Norwegian Competition Authority has today approved SalMar's contemplated acquisition of all outstanding shares in NTS in accordance with the Offer, and thus also the Merger.
