<div class="abstract"><p>OmniCar Holding AB (the "Company" or "OmniCar") announced on 4 September 2023 that it had resolved to issue 1,728,000 shares to Recall Capital Nordic AB (the "Investor") at a price of approximately SEK 2.50 per share (the "Set-off Issue") in order to settle the full amount due to the Investor of SEK 4,313,000 under an existing loan agreement (the "Loan Agreement" or the "Financial Instrument").</p></div><p>To correct the result of a miscommunication between OmniCar and the Investor, the parties have today agreed to amend the terms of the Set-off Issue to reflect the terms of the Loan Agreement. OmniCar's debt to the Investor under the Loan Agreement floats with OmniCar's share price. Since the Company's share price has decreased, the debt is rightfully SEK 172,800, instead of SEK 4,313,000, due to the change in value of the Financial Instrument. OmniCar's debt of SEK 172,800 will in full be converted into 1,728,000 shares at a price of SEK 0.1 per share, which was the market value of the OmniCar share at the time of the Set-off Issue (the "Amended Set-off Issue"). After the Amended Set-off Issue, OmniCar's debt to the Investor will be settled in full.</p>
