Resolutions of the Extraordinary General Meeting of Valuno

Valuno Group AB (publ) (the “Company”) held an extraordinary general meeting today, 14 September 2026. In accordance with the board’s proposals, the meeting resolved on two directed share issues with payment by set-off and on an amendment of the articles of association.

Share issue to Netgraph Project Management Services with payment by set-off
The meeting resolved on an issue of not more than 100,000,000 shares with deviation from the shareholders’ pre-emption rights. The right to subscribe is vested in Netgraph Project Management Services. The subscription price is SEK 0.1274 per share, corresponding to total subscription proceeds of SEK 12,740,000, and equals the volume-weighted average price of the Company’s share on NGM Nordic SME between 22 June and 10 July 2026. Payment is made by setting off a corresponding part of Netgraph’s claim against the Company. Subscription is to be made on a subscription list within two weeks of the resolution. The allotted shares are subject to a lock-up of 24 months from registration with the Swedish Companies Registration Office. On full subscription, the share capital increases by not more than SEK 1,000,000.

Share issue to Interlace Sweden AB with payment by set-off
The meeting resolved on an issue on the same terms to Interlace Sweden AB, reg. no. 559199-0592, which is 80 per cent owned by the Company’s chairman of the board Jörgen Eriksson. The issue is therefore subject to Chapter 16 of the Swedish Companies Act, and the resolution was passed by the nine-tenths majority required under that chapter. Jörgen Eriksson has not taken part in the board’s handling of the proposal.

Amendment of the articles of association
The meeting resolved to change the limits for the share capital to not less than SEK 4,000,000 and not more than SEK 16,000,000, and the limits for the number of shares to not less than 400,000,000 and not more than 1,600,000,000. The articles of association in their new wording will be filed for registration with the Swedish Companies Registration Office only once both set-off issues have been registered.
