Revenio is a global provider of comprehensive eye care diagnostic solutions. The group offers fast, user-friendly, and reliable tools for diagnosing glaucoma, diabetic retinopathy, and macular degeneration (AMD). Revenio’s ophthalmic diagnostic solutions include intraocular pressure (IOP) measurement devices (tonometers), fundus imaging devices, and perimeters as well as software solutions under the iCare brand.

In 2023, the Group’s net sales totaled EUR 96.6 million, with an operating profit of EUR 26.3 million. Revenio Group Corporation is listed on Nasdaq Helsinki with the trading code REG1V.

I wonder if we’ll start seeing some insider buying from the executive management as well, now that great business is on the horizon and the valuation is knocking on seven-year lows. If they don’t buy now, it says a lot.

I don’t own Revenio shares myself, but I’ve been following the company for a while and am somewhat familiar with the opportunities and challenges related to transformative situations like this. I can confirm the same experience, including M&A and carve-out situations. It’s one thing to know and another to experience it firsthand, although every acquisition obviously has its own differences and details. Successfully carrying out a broader integration requires, among other things, excellent leadership, communication, systematicity, firmness, and effective alignment. If the start of the integration is too sluggish and many deviating concessions are made from the beginning, the goals of the merger, such as synergies, are rarely achieved. This often happens below top management when critical middle management resists. As an investor, I would closely monitor and ask management exactly how the integration is progressing operationally over the next 60–180 days. In other words, actions. And not just those top-down financial figures and management’s pretty slides and sales pitches. This is a major merger, so fortunately both companies have that critical mass. This helps with the integration, but at the same time, both parties often have a “resistance force” to stick to their own delivery model, and synergies are not realized. At worst, you even get dyssynergies when the original focus is lost. I wish the company luck, but based on a very superficial feeling, this does not increase my enthusiasm to buy Revenio shares. I’ll wait for the first positive signals that the integration is progressing well and creating value.

I’m not a Revenio owner, but I’ve been watching the stock slide out of the corner of my eye. For the owners’ sake, I would have hoped that Reve would have been the target of the acquisition itself. I once worked with the French in an M&A situation, and I certainly don’t envy the integration work that awaits. It might succeed well, but there are enough reasons why it might not. E: And I’d like to note that the French are diligent and as enthusiastic about technology as the Finns, but very different as people and in their culture. Even if you’re on the buyer’s side, you can very easily end up getting steamrolled if you don’t know how to “play the game.”

The longest working weeks were recorded in Greece (39.8 hours), Romania...                             France has produced such super successful companies in the global market as: LVMH, Hermés, Kering, L’Oréal, Sanofi (pharmaceuticals), Airbus, Schneider, Dassault, Thales, BNP Paribas, AXA, etc. Based on the statistics I’ve seen, the French consume about 11 liters of alcohol per year, while Finns consume just under ten. I don’t have research data for this, but it’s probably not far off to guess that French consumption is more social and more often associated with meals. Which is quite healthy. France is also known for croissants, but they originated in Austria. Rumor has it that during the Siege of Vienna in 1683, the Viennese mockingly made crescent-shaped pastries, as the Ottomans were besieging the city.  Back to the topic. Although France is known for its regulated labor market, according to the estimates in this quality media article, it compares to Germany and Italy. All these countries have produced successful companies; clearly, rigidity does not prevent hard work or success. France. Comfort-seeking. Croissants. Trade unions. A bottle of wine at lunch, at dinner a little more freely. Surely, in this case, too, it was necessary to promise that all employees working in France would transfer as old employees and that they would be given a 2-3 year guarantee against dismissal. I wouldn’t expect anything less from trade unions in France. Fat packages are of course a separate matter. Efficiency-oriented dismissals, if needed, will likely be carried out in Finland.

My feelings about this Visionix deal are quite mixed. On one hand, this is clearly a strategically logical move: Revenio is significantly expanding its product portfolio and gaining access to a larger market. But at the same time, this is also a clearly larger and riskier step than before. In deals like this, the outcome depends quite heavily on how well the integration and especially the sales synergies are realized. And this is where my uncertainty comes in. For this to be a truly good deal, sales synergies need to flow through quite significantly. That’s not an easy task, and history is not full of examples of large integrations that have gone perfectly. One must also hope that there hasn’t been too much pressure from major shareholders to make “the next big move,” which might have unintentionally lowered the bar for success. On the positive side, I see that the acquisition was financed with debt rather than directly diluting shareholders. That at least speaks to a certain level of confidence in the case. On the other hand, my feeling has been that Revenio’s “own house” hasn’t been quite in order lately. Therefore, it might have been justified to focus more on refining the current business before such a big move. If debt was to be utilized, I personally believe that share buybacks could have also been a valid option – especially since the stock has not been overly expensive relative to its history. Furthermore, the CFO’s departure at the same time as this whole package does not increase my confidence from a financing perspective, although there may well be perfectly normal reasons behind it. In summary: the case could work well, but it requires quite a lot of success, especially on the sales and integration side. I, for one, am not yet fully convinced that the risk-reward ratio is particularly attractive at this point.

Visionix’s revenue is 143 million and it has 580 employees (!). Revenio’s corresponding figures are 110 million and 247. What explains why Visionix’s business is so much more labor-intensive and thus less profitable? It hasn’t just generated growth in recent years. My initial feeling is that the business logic is reasonable (what does Revenio get), but a very high price is being paid for synergies upfront. The timeline for synergies also seems optimistic. Large mergers, especially with French companies, are not easy…
