<div class="abstract">Scandinavian Astor Group ("Astor Group" or "the Company") announces that all 800,000 earned warrants in the Company's incentive programme 2022/2025 have been exercised. Through the exercise of the warrants in the 2022/2025 incentive programme, Astor Group will receive approximately SEK 4.1 million before issue costs.</div>Background Each warrant entitled the holder to subscribe for one (1) new share in Astor Group at a subscription price of SEK 5.1 per share. The exercise of all warrants will provide the Company with approximately SEK 4.1 million before transaction costs. The warrants were exercised in accordance with their terms and conditions during the period from 15 December 2025 to 30 December 2025. The incentive programme was aimed at the then board and management of the Company, and the warrants were vested at a rate of one third per year, with full vesting on 8 December 2025.Share capital and dilution Through the redemption of the warrants, the number of shares in Astor Group increases by 800,000 shares, from 61,442,732 shares to a total of 62,242,732 shares. The company's share capital will increase by approximately SEK 210,948, from SEK 16,201,543 to approximately SEK 16,412,491.
