Sentia ASA – Mandatory Notification of Trade – Primary Insiders

Jan Jahren, CEO of Sentia ASA, and May Helen Dahlstrø, EVP of HENT, have today completed generational transfers by transferring shares in their respective holding companies, Jan Jahren AS and Mada Holding AS, to their children. Jan Jahren AS and Mada Holding AS hold 12,143,664 and 1,217,327 shares in Sentia ASA, respectively.

As part of these transfers, a reorganization will be carried out in Jan Jahren AS and Mada Holding AS, respectively, whereby all shares in Sentia ASA held by these companies will be transferred to newly established holding companies, Jan Jahren AS (New) and Mada Holding AS (New), through group mergers. Furthermore, the children of Jan Jahren and May Helen Dahlstrø have received shares in the holding companies by deed of gift. Following completion of the reorganization, the children will, through their respective holding companies, own shares in Jan Jahren AS (New) and Mada Holding AS (New).

Jan Jahren has today transferred a total of 123,384 shares in Jan Jahren AS (corresponding to 41.13% of the shares in the company) to:

· Amjahren AS (owned by Annika Myhre Jahren),
· JH Jahren AS (owned by Jan Henrik Krogh‑Moe Jahren), and
· Cjahren AS (owned by Christian Krogh‑Moe Jahren).

Following the transfers, Jan Jahren will own 58.87% of the shares in Jan Jahren AS.

May Helen Dahlstrø has today transferred a total of 15,000 shares in Mada Holding AS (corresponding to 50% of the shares in the company) to:

· JBD Invest AS (owned by Julie Bjerkeset Dahlstrø), and
· SBD Invest AS (owned by Stian Bjerkeset Dahlstrø).

Following the transfers, May Helen Dahlstrø will own 50% of the shares in Mada Holding AS.

The transfers of shares to the children are subject to mandatory disclosure, as the shares in Jan Jahren AS and Mada Holding AS have a value that is indirectly dependent on the value of the shares in Sentia ASA. Furthermore, the transfers of Sentia ASA shares from Jan Jahren AS and Mada Holding AS to Jan Jahren AS (New) and Mada Holding AS (New) are subject to mandatory disclosure, as these entities are considered closely related parties to Jan Jahren and May Helen Dahlstrø, respectively.

The transfers will not result in any change of control in Jan Jahren AS or Mada Holding AS. Jan Jahren and May Helen Dahlstrø will continue to own all A‑shares (voting shares) in Jan Jahren AS (New) and Mada Holding AS (New), respectively. The children will only hold non‑voting B‑shares in the respective companies.
