SpectrumOne announces the determination of the subscription price for Qbim in the directed share issue

SpectrumOne AB (publ) ("SpectrumOne") announces that its subsidiary Qbim Aktiebolag ("Qbim") has received an independent valuation analysis carried out by Kalqyl. The analysis projects an equity value of approximately SEK 34.8 million within the next two years, provided that the company delivers in line with the analyst's growth assumptions.

As part of the work, Kalqyl has also prepared a complementary valuation based on a discounted cash flow (DCF) methodology, resulting in an indicative current value of SEK 23.6 million. While this approach provides an additional perspective, the overall analysis underlines Qbim's potential to reach a significantly higher valuation as the business develops.

Taking the valuation analysis, prevailing market conditions, and investor feedback into account, Qbim will apply an equity valuation of SEK 25 million in connection with a contemplated directed share issue to SpectrumOne (the "Directed Share Issue").

The Directed Share Issue is conditional upon completion of SpectrumOne's previously announced purchase rights offering in Qbim. Subject to such completion, Qbim has resolved to carry out the Directed Share Issue to SpectrumOne at the SEK 25 million valuation, i.e. at a price of SEK 0,53 per share. Under the Directed Share Issue, SpectrumOne will be issued 18,867,924 new shares in Qbim, corresponding to approximately 28.7% of Qbim's total outstanding shares following completion of the purchase rights offering.
