Summa Defence Plc Company announcement 7 September 2026 at 5:00 p.m. EEST
Summa Defence Plc (the "Company") announced on 3 September 2026 that it had resolved on a directed share issue to the former shareholders of Nordic Yards Oy ("Nordic Yards") (the "Sellers") for the payment of an earn-out (the "Directed Issue").
In the Directed Issue, the Company issued a total of 1,102,901 new shares, which have today been registered in the Trade Register maintained by the Finnish Patent and Registration Office (the "New Shares").
As a result of the registration of the New Shares, the total number of all registered shares in the Company is 46,784,565. The New Shares will be issued in the book-entry system (ISIN code FI4000592282) and registered to the book-entry accounts of the subscribers, after which the New Shares will carry shareholder rights in the Company.
Trading in the New Shares on the multilateral trading facility Nasdaq First North Growth Market Finland maintained by Nasdaq Helsinki Ltd and the multilateral trading facility Nasdaq First North Growth Market Sweden maintained by Nasdaq Stockholm AB is expected to commence on or about 9 September 2026, subject to the approval of the listing application.
