Company Announcement No. 16/2026 – The Board of Directors implements a capital increase following the exercise of warrants
Pursuant to the authorisation granted to the Board of Directors under section 4.2.1 of the Company's Articles of Association and following the exercise by a number of employees of warrants granted on 1 September 2025, the Board of Directors has resolved to implement a capital increase through the issuance of a total of 69,029 new shares in Dataproces Group A/S.
Each warrant entitles the holder to subscribe for one share with a nominal value of DKK 0.02, and the shares are subscribed for in cash at DKK 0.02 per share, corresponding to a total subscription amount of DKK 1,380.58.
The Company's share capital is thereby increased by a nominal amount of DKK 1,380.58 from DKK 744,144.82 to DKK 745,525.40, and the total number of shares increases from 37,207,241 to 37,276,270 shares with a nominal value of DKK 0.02 each.
The capital increase results in dilution of the existing shareholders of approximately 0.19%.
The new shares carry the same rights as the Company’s existing shares and will, following registration of the capital increase with the Danish Business Authority, be admitted to trading on Nasdaq First North Growth Market Denmark. The Company’s Articles of Association will be updated as a result of the capital increase.
