Tieto's Board of Directors has resolved to commence a new share buyback programme of EUR 90 million (the "Buyback Programme") related to the proceeds from the divestment of Tieto Indtech's Edlevo and HR&Payroll software businesses. The Buyback Programme will follow the ongoing EUR 150 million programme, announced in February 2026, and share repurchases for share-based incentives, announced earlier today. The purpose of the Buyback Programme is to maintain an efficient capital structure in line with the company's capital allocation principles.

The Buyback Programme utilizes the authorization granted by the company's Annual General Meeting 2026, under which the Board of Directors is currently entitled to decide on the repurchase of a maximum of 11 800 000 shares, corresponding to approximately 10% of all shares in the company. The company has unrestricted equity available for the repurchase of its own shares.

The Buyback Programme will be carried out on the following main terms:

  • Amount to be used: EUR 90 million
  • Purpose of the repurchases: to maintain an efficient capital structure in accordance with the company's capital allocation principles
  • Estimated duration: begins no sooner than when the repurchases under the ongoing share buyback programme and repurchases for share-based incentives have been completed, and ends by March 2027, with the Board having the discretion to extend the repurchase period
  • Price: market price formed in public trading on Nasdaq Helsinki
  • The shares will be repurchased on Nasdaq Helsinki Stock Exchange
  • The repurchased shares will be cancelled on a monthly basis

 

The Buyback Programme will be implemented in accordance with the safe harbour arrangement of EU Market Abuse Regulation (MAR). The company has appointed Nordea as the independent financial intermediary to carry out the share repurchases. Intermediary will make all trading decisions regarding the timing of the purchases independently of the company, subject to the terms of the Buyback Programme and applicable regulation. The repurchase of shares may be temporarily paused, suspended or terminated before the scheduled end date. In such cases, the company will announce the matter in a stock exchange release. The company will publish a stock exchange release reporting the transactions carried out under the Buyback Programme in accordance with regulation and market practices.
