Puuilo Plc’s Shareholders’ Nomination Board is composed of representatives appointed by the Company’s three largest shareholders and the Chair of the Board of Directors of Puuilo Plc, Mammu Kaario, who acts as a person with expertise. The shareholders’ right to appoint representatives is determined on the basis of the shareholder register maintained by Euroclear Finland Ltd among the shareholders holding the largest number of votes conferred by all shares in the Company on 1 October 2026. Puuilo’s three largest shareholders were Ampfield Management, L.P., Markku Tuomaala and Evli Fund Management Company Ltd. Each of them exercised their right of appointment.

The Shareholders’ Nomination Board is responsible for preparing proposals to the 2027 Annual General Meeting and, where necessary, to any Extraordinary General Meeting concerning the election and remuneration of the members and Chair of the Board of Directors of Puuilo Plc and the remuneration of the members of the Board Committees.
