Here are Aapeli’s comments on how Enersense’s financing arrangement received approval.  Enersense announced on Thursday that its bondholders’ meeting has approved the company’s proposal to amend the terms of its convertible bond. The decision was expected and also enables the realization of the company’s broader financing package. In addition, Enersense announced after the market close that it would also carry out the previously communicated issuance of an additional tranche. Overall, the arrangements strengthen the company’s balance sheet and secure financing for the coming years. The investor day interview revealed the share of services in core businesses for 2024 (40%), as well as the service revenue amount of ~134M. (What I asked above) I’m interested to see what the figures will be in 2025 and 2026, both percentage-wise and in terms of service revenue. The share of services was followed by an * mark and a clarification regarding which services it concerned. The company’s service offering is likely to expand soon.

Here are Aapeli’s comments on how Enersense plans to convert its convertible bond into a convertible hybrid bond.  The aim of the arrangement is to strengthen Enersense’s balance sheet, extend the maturity profile of its financing, and support the refinancing of other debt arrangements. The company’s financing restructuring was quite expected in the near future, and we consider the terms of the arrangement to be reasonably neutral in the current situation. Demand is guaranteed for years to come as the electricity infrastructure will be doubled; we are waiting for broader interest to emerge. The stock price will follow. Above all, Enersense seems to have, after the new CEO started working and by focusing on its core business, restored the confidence that had been lost due to continuously missed results.

Aapeli has prepared a new company report on Enersense following the Q3 results.  Enersense’s core business operating profit exceeded our forecasts by a clear margin in Q3. The realized development once again strengthened our confidence in the earnings turnaround we forecast for the coming years. Reflecting the report that exceeded our expectations and at least moderately good demand prospects, we slightly raised our forecasts for the coming years. We still see the stock’s valuation as attractive, which is why we reiterate our ‘add’ recommendation and raise our target price to 5.2 euros (previously 4.7 €) in line with the forecast changes. Quoted from the report: In our opinion, Enersense should currently be valued especially through earnings-based multiples and a sum-of-the-parts calculation, which also takes into account assets outside the core businesses. Currently, we see the acceptable valuation of the stock to be approximately 10x–14x with a P/E multiple, approximately 8x–12x with an EV/EBIT multiple, and approximately 5x–7x with an EV/EBITDA multiple. Following the strong Q3 report and our increased confidence regarding the earnings turnaround, we see the acceptable valuation settling around the mid-point of these ranges (previously around the lower end and mid-point). <div class="abstract">Enersense International Plc Press release, 3&nbsp;December 2021 at 2:15&nbsp;p.m.</div>Enersense UAB, Lithuanian subsidiary of Enersense International Plc, a provider of zero-emission energy solutions, and Empower AS, Estonian subsidiary of Enersense International Plc (both together referred below as to Enersense), have signed an agreement with a Lithuanian electricity transmission system operator Litgrid AB. The agreement provides for the&nbsp;construction of the 330 kV electricity transmission line LN531-LN447 in Lithuania by Enersense (hereinafter the Project).Enersense has entered a co-operation with Lithuanian UAB Connecto Lietuva and the Estonian AS Connecto Eesti to implement the Project. The Project is delivered as&nbsp;turn-key&nbsp;and consists of preparations and planning, the dismantling of the existing electricity transmission line, and the construction of the new electricity transmission line with the length of 63 kilometers. The Project is expected to be completed by February 2025. Margus Veensalu, EVP of Enersense's International Operations segment, believes Enersense&nbsp;strong expertise is a key factor in the implementation of the Project. "Enersense has decades of experience in building power lines, and we are also involved in a similar project in Estonia. It is great that our expertise is valued, and we get to carry out demanding projects and act as a responsible partner for our customers," Veensalu says. The modernization of the electricity transmission lines between LN531-LN447 is a key part of a larger undertaking, in which Baltic electricity systems will be connected to the Continental European Synchronous Area (CESA).
