Metsä Board is a manufacturing company active in the paper and pulp industry. The company is a manufacturer of cartons made of forest fiber. The products are used for consumer and food products. In addition to the production of cartons, the company offers services related to technical analysis and design development. The company is most active in the European market. Metsä Board´s head office is located in Espoo, Finland.

Why is the state so heavily focused on dividends, and why can money be poured into the Oulu (Moloch’s maw) in truckloads? Of course, it’s probably also the easiest/fastest way to get money.

Can someone explain the logic behind Enso’s actions? 60 million in interest per annum. Indeed, they could have forgone the dividend and perhaps sold a bit of Tornator or Swedish forests and non-core assets instead of taking on an expensive hybrid.

Stora Enso has now raised 500+500 million euros in hybrid bonds, with an interest rate of just under 6%.  The transaction consists of two tranches:  A 500 million euro hybrid bond with the first redemption option after 3 years. A 500 million euro hybrid bond with the first redemption option after 5.5 years.  The bonds are subordinated to the company’s other debt obligations and have no fixed maturity date. In accordance with IFRS standards, they are classified as equity and form a key part of Stora Enso’s long-term financing strategy, strengthening the company’s capital structure and financial flexibility. The first bond was issued at a price of 100.00 and has an annual coupon interest rate of 5.625% until April 17, 2029, after which the interest rate will be adjusted at pre-determined times according to market conditions. The second bond was issued at a price of 99.47 and has an annual coupon interest rate of 5.875% until October 17, 2031, after which the interest rate will be adjusted at pre-determined times according to market conditions. The question is highly relevant, and I would extend it almost to the 2024 dividend decision. At that time, the balance sheet was at least as tight based on the net debt/EBITDA ratio, which is a financial target and typically a key metric for creditors.  The debts will naturally be divided between both companies. This is a very complex process, influenced by several factors, ranging from the businesses’ debt servicing capacity to the company’s choices, taxation, and restrictions imposed by creditors. The CMD left the impression that, as a basic assumption, both companies will incur net debt. However, not all debt components will necessarily be divided between both companies. I would say that the packaging business, with its current profitability and cash flow profile, and their outlook, cannot bear a particularly heavy debt load. The “forest company,” on the other hand, would better carry debt due to its balance sheet (cf. typical LTV levels in real estate investment). However, the return on assets in the “forest company” is low, so using very expensive debt to finance the “forest company” would be questionable, at least in the long run.

Technopolis was even better back in the day when it organized a share issue and paid dividends in the same year. The state owns 10.7% of Stora (and double the votes or something), so perhaps there’s pressure from there to get dividends as well.

Stora previously stated that it plans to spin off its Forest division into a separate company. The timeline, if I recall correctly, was H1/2027. How would such an expensive new loan typically be handled/distributed in a situation like this? One would imagine that the packaging business, struggling with demand, profitability, and overcapacity issues, would not be particularly enthusiastic about such additional cost items.
