Company Announcement No. 9-2023Copenhagen, 27 July 2023Impero A/S announces today that Impero A/S' share capital is increased by nominally DKK 1,000 as a result of exercise of warrants issued under the company's warrant program.The capital increase is effected without pre-emptive rights for Impero A/S' existing shareholders or others. The shares are subscribed in cash at a subscription price of DKK 3.30 per share of nominally DKK 0.10.The total proceeds for Impero A/S amount to DKK 33,000.The new shares correspond to approximately 0.05% of Impero A/S' share capital prior to the capital increase.The new shares are ordinary shares without any special rights and are freely transferable negotiable instruments. The new shares are entitled to dividends and other rights in Impero A/S from the time of registration of the capital increase.Registration of the capital increase with the Danish Business Authority is expected to take place on 28 July 2023. The new shares are expected to be admitted to trading on Nasdaq First North Growth Market Denmark as soon as possible after registration with the Danish Business Authority under the ISIN code of Impero A/S's existing shares (DK0061536828).As a result of the capital increase, the total nominal value of Impero A/S' share capital amount to DKK 2,068,506.20, corresponding to 20,685,062 shares of a nominal value of DKK 0.10. Each share carry one vote corresponding to a total of 20,685,062 voting rights.
