Reference is made to the stock exchange announcements made by Fjord Defence
Group ASA (the "Company") on 18 December 2025, regarding the resolution by the
extraordinary general meeting of the Company to approve the private placement of
13,333,333 new shares in the Company announced on 27 November 2025 (the "Private
Placement"), and the subsequent disclosure of major shareholdings and share
lending in connection with the Private Placement.
To facilitate delivery-versus-payment (DVP) settlement of shares allocated to
the investors in the Private Placement, AS Saturn, a close associate of the CEO
and primary insider Jon Asbjørn Bø, has today lent a total of 2,894,823 existing
shares in the Company already admitted to trading on Euronext Oslo Børs to
Pareto Securities AS, acting as settlement agent on behalf of the managers in
the Private Placement, pursuant to a share lending agreement.
