<div class="abstract">In accordance with the decision by the Annual General Meeting, Episurf Medical's Nomination Committee shall consist of four members. The members are selected by the three largest shareholders in the company that wish to participate in the committee. In addition, the Chairman of the Board is to be appointed to the Nomination Committee. The members of the Nomination Committee shall agree on a chairman/woman of the committee.</div>In accordance with the above principles, the Nomination Committee consists of the following four members:<ul><li>Ulf Grunander, styrelseordförande i Episurf Medical AB</li><li>Ilija Batljan, representing Health Runner AB</li><li>Sebastian Jahreskog</li><li>Hites Jina, representing LMK Forward AB</li></ul>The members of the Nomination Committee have been appointed based on the ownership structure as of August 31, 2023. The shareholders having appointed members of the Nomination Committee together represent approximately 20 per cent of the voting rights for all shares in Episurf Medical.The Nomination Committee will prepare proposals for the Annual General Meeting 2024 regarding election of chairman/woman and other directors of the board, election of auditor, matters regarding fees, election of chairman/woman of the Annual General Meeting and resolution concerning the Nomination Committee.Shareholders may contact the Committee with proposals regarding the work of the committee. Proposals shall be submitted in due time before the Annual General Meeting to ensure that the proposals can be considered.
