Neovici Signs New Strategic Agreement With Existing Customer
Neovici Holding AB (publ) announces that the company's wholly owned subsidiary, Neovici AB, has entered into a new agreement with an existing customer. The new agreement replaces the parties’ previous contract and has a total contract value of up to approximately SEK 100 million over the next 42 months, which represents an estimated increase of approximately SEK 50 million compared with the prior contractual structure.
Under the new agreement, the customer will transition to a hybrid model, i.e., a combination of SaaS and a license. Implementation is scheduled to begin in the fourth quarter of 2025, and the agreement will run for 42 months from the time the platform has been migrated to the customer’s IT infrastructure.
The agreement includes an initial license payment of SEK 32 million upon commencement, followed by an additional license payment of SEK 20 million upon completion of the migration in accordance with the agreement. The remaining portion consists of ongoing fees for operations, support, and further development during the contract period.
The agreement contains customary commercial terms and certain restrictions regarding the use of the initial license payment. These stipulate that funds related to the license portion must be used for the company’s operations, technological development, and delivery under the agreement, and may not be used for dividend distribution to shareholders or repayment of shareholder loans.
