Oslo, September 10, 2026. Reference is made to the stock exchange notice of 7
September 2026 regarding Nordic Mining ASA's (the "Company") production ramp-up,
liquidity and regulatory status, and today's announcement from Engebø Rutile and
Garnet AS ("ERG") as issuer of the Senior Secured Bonds (ISIN: NO0012734112).
Nordic Trustee AS has today issued a summons for a written resolution formally
proposing a USD 30.000.000 tap issue on the Senior Secured Bonds at a 75 %
discount (cash proceeds of USD 7.500.000), together with a minority tranche of
up to USD 5,359,408 (cash proceeds of USD 1.339.852). If subscribed in full,
these would bring the maximum issue amount to USD 193,959,408. Bondholders
representing more than two-thirds (2/3) of the voting bonds have confirmed that
they will vote in favour of the proposal.
The proceeds are intended to provide a liquidity runway to mid-October 2026. The
proposal also includes an extension of the temporary covenant waivers and a
further deferral of the August coupon, both to 15 October 2026.
Implementation remains subject to customary conditions precedent.
