Boreo Plc’s Board of Directors resolves on granting stock options to the CEO under the 2025 stock option programme

The Board of Directors of Boreo Plc (the “Company”) has on 28 April 2026 resolved to grant 15,000 stock options to the Company’s CEO, Tuomas Kahri. The granting of stock options is based on the authorization given to the Board of Directors by the Annual General Meeting held on 15 April 2025 to decide on the issuance of stock options. The Board of Directors resolved on the stock option programme and the issuance of a maximum of 90,000 stock options on 29 April 2025.

Each stock option entitles its holder to subscribe for one (1) share in the Company. The subscription period for shares will commence on 1 June 2028, and the holder of stock options is entitled to subscribe for shares during a period of two (2) years in a maximum of four (4) tranches. The subscription period will end on 31 May 2030.

The subscription price for each share is EUR 15.11, based on the volume-weighted average price of the Company’s share on Nasdaq Helsinki Ltd during the month preceding the decision on the stock option programme (15 April 2025), increased by a 10% premium.

The granting of stock options is subject to the CEO accepting the offer related to the stock options. The stock options will be granted under a separate agreement.

The terms and conditions of the stock option programme are available as an appendix to the release published on 29 April 2025.
