21 April 2026 - Announcement of transactions of executives and related parties in Asetek shares.
According to the Market Abuse Regulation art. 19, Asetek A/S (the "Company") announces to have received notifications regarding transactions in the Company's shares and related securities by persons discharging managerial responsibilities and persons closely associated with them.
Reference is made to the company announcements dated 25 November 2025, 19 December 2025, 30 December 2025, 12 January 2026, 15 January 2026, 23 January 2026, 26 January 2026, 13 February 2026, 3 March 2026, 19 March 2026, 23 March 2026, 9 April 2026, 14 April 2026 and 21 April 2026 regarding the recommended voluntary public takeover offer (the "Offer") to the shareholders of Asetek by CQXA Holdings Pte. Ltd. (the "Offeror"), a wholly owned and controlled subsidiary of Suzhou Chunqiu Electronic Technology Co., LTD. ("Chunqiu").
Transaction made in connection with the Offer:
Executive management member of Asetek A/S, André Sloth Eriksen, has on 21 April 2026 exercised (i) 9,312,300 stock options at an exercise price of DKK 0.43 per option and (ii) 2,300,900 stock options at an exercise price of DKK 0.77 per option, corresponding to a total of 11,613,200 shares in Asetek A/S. André Sloth Eriksen has sold 15,693,237 shares in Asetek A/S at a price of DKK 1.72 per share to the Offeror under the Offer.
Executive management member of Asetek A/S, Peter Dam Madsen, has on 21 April 2026 exercised (i) 3,233,400 stock options at an exercise price of DKK 0.43 per option and (ii) 798,900 stock options at an exercise price of DKK 0.77 per option, corresponding to a total of 4,032,300 shares in Asetek A/S. Peter Dam Madsen has sold 5,902,676 shares in Asetek A/S at a price of DKK 1.72 per share to the Offeror under the Offer.
Board member of Asetek A/S, Søren Klarskov Vilby, has on 21 April 2026 sold 100 shares in Asetek A/S at a price of DKK 1.72 per share.
Board member of Asetek A/S, Jakob Alsted Have, has on 21 April 2026 sold 303,734 shares in Asetek A/S at a price of DKK 1.72 per share. In addition, Nordic Compound Invest A/S, a legal entity controlled by Jakob Alsted Have, has on 21 April 2026 sold 48,227,226 shares in Asetek A/S at a price of DKK 1.72 per share.
Board member of Asetek A/S, Lasse Dannulat, has on 21 April 2026 sold 24,000 shares in Asetek A/S at a price of DKK 1.72 per share. In addition, Dal Invest ApS, a legal entity owned and controlled by Lasse Dannulat, has on 21 April 2026 sold 10 shares in Asetek A/S at a price of DKK 1.72 per share.
DNY ApS, a legal entity owned and controlled by board member of Asetek A/S, Dennis Nymann, has on 21 April 2026 sold 128,013 shares in Asetek A/S at a price of DKK 1.72 per share.
Vorup Invest ApS, a legal entity owned and controlled by board member of Asetek A/S, Lars Kristensen, has on 21 April 2026 sold 61.279.974 shares in Asetek A/S at a price of DKK 1.72 per share.
