Eikä tainnut se Taimer Oy osto olla loppujen lopuksi kovinkaan onnistunut. Mitä Linkedissä seurailee niin taisi monet joutua lähtemään Heerokselta. Tästähän piti tulla paljon pieniä firmoja asiakkaaksi ja varmaan myös ulkomailta. Moni hehkutti sitä kauppaa, no halpa puljuhan se oli (jos ei käsien heiluttelija pomoja sitten jäänyt liikaa isolla liksalla).

Tätä tarjousta on kyllä jo valmisteltu aika huolella, kuten hallituksen lausunnosta ilmenee: “Vuoden 2024 aikana Yhtiö sai useita yhteydenottoja, joissa ilmaistiin kiinnostusta Heerokseen, ja tässä yhteydessä Yhtiö otti myös aktiivisesti ja luottamuksellisesti yhteyttä tiettyihin muihin tahoihin, jotka Yhtiö tunnisti Heeroksen mahdollisiksi strategisiksi kumppaneiksi. Tämän seurauksena Yhtiö vastaanotti vuoden 2024 aikana kiinnostuksenosoituksia useilta osapuolilta, joiden kanssa se on käynyt alustavia keskusteluja, ja sai myös alustavia ei-sitovia tarjouksia Heeroksesta, mukaan lukien KKR:n Tarjouksentekijän kautta tekemä tarjous. Tämän prosessin aikana Yhtiö antoi osapuolille mahdollisuuden toteuttaa due diligence -tarkastuksen Heeroksesta.  Tämän prosessin ja Heeroksen hallituksen tekemän muiden Heeroksen käytettävissä olevien strategisten vaihtoehtojen arvioinnin johdosta Heeroksen hallitus on päätynyt lopputulokseen, että Tarjouksentekijän julkistama Ostotarjous on Yhtiön Osakkeiden ja Optio-oikeuksien haltijoiden kannalta kaikkein suotuisin vaihtoehto” Tämän valmistelun takia ei myöskään kilpaileva tarjous ollut missään vaiheessa todennäköinen. Pitäisin siis tarjouksen läpimenoa hyvinkin selvänä.

Liiketoiminnan rahavirta on kyllä kovalla tasolla suhteessa lunastustarjouksen hintaan.
