Hedehusene, 23 September 2026. Board member Kim Bjørn Pedersen has today informed Mendole A/S ("Mendole" or the "Company") that he withdraws from the announced DKK 38m debt financing of the Rebo acquisition, consisting of his DKK 18m acquisition loan and the DKK 20m Skjern Bank facility secured by him, as described in company announcements No. 14 and No. 19, as the equity raised in the Company's ongoing offering has not reached the level he expected when he made the commitment. He has also informed the Company that he will resign from the Board of Directors. Mendole is in discussions with lenders about providing debt finance. No agreement has been reached.
The share purchase agreement for Rebo A/S was signed on 30 July 2026, as described in company announcement No. 14, and completion is conditional on the financing being in place. The sellers of Rebo A/S have been informed, and the parties are in dialogue on extending the long stop date for closing. No new date has been agreed, and there is no assurance that the acquisition will be completed. The Company will announce the new financing and the closing timetable when binding agreements are in place.
The ongoing offering closes as planned on 25 September 2026. The proceeds secure the financing of the Company's operations regardless of the outcome of the Rebo acquisition. If the Rebo acquisition is not completed, the proceeds also give the Company the opportunity to pursue other acquisitions. The Company will announce the outcome of the offering after the subscription period ends.
In parallel, Mendole is in dialogue with investors about a possible directed issue to strengthen the Company's capital base and finance the acquisition of Rebo A/S. Any directed issue will be conditional on completion of the Rebo acquisition. No binding agreement has been entered into.
After the resignation, the Board of Directors consists of Henrik Theisler (Chairman), Thomas Kaas Selsø and Knud Juul Truelsen. Henrik Theisler and Thomas Kaas Selsø are independent of the Company, its management and its major shareholders.
